Job Summary & Responsibilities:

  • Work closely with in-house legal team on a variety of matters relating to the firm’s investment banking business.
  • Draft, review, negotiate and manage a variety of legal agreements, including engagement letters, underwriting agreements, non-disclosure agreements, commercial contracts and licensing agreements.
  • Assist in the management of legal documentation flow, approvals and reporting consistent with internal processes.
  • Provide practical legal advice and support directly to the investment banking business in a fast-paced environment.
  • Assist in communication and review of legal and compliance policies to business teams.
  • Support the continuous improvement of standard form documents and legal processes.
  • Keep informed of new laws, regulations and industry trends affecting the investment banking business, and assist with development of policies and training as needed.
  • Perform other related duties and special projects as required.


  • J.D. and member of the bar in at least one relevant jurisdiction.
  • Three or more years of experience in a top-tier law firm or in-house at a financial services firm, with a focus on M&A and capital markets transactions strongly preferred.
  • Series 79 and 63 FINRA licenses required or must be obtained within 180 days of start date.  
  • Excellent oral and written communication skills, with the ability to work collaboratively with all levels of employees and counterparties.
  • Strong negotiation skills and ability to apply independent judgment in a variety of circumstances.
  • Excellent attention to detail and analytical skills.
  • Sound and practical business judgment.
  • High degree of professional ethics and integrity.
  • Ability to manage multiple projects simultaneously and prioritize among competing projects and priorities.
  • Understanding of the mechanics of corporate transactions – in particular M&A and capital markets transactions – and the investment banking industry.
